Violations of this Code of Conduct may result in the suspension or termination of your subscription, at the sole discretion of CoursWorx, without a refund.
- Limitation of Liability
CoursWorx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, profits, or data, arising from the use or inability to use the platform. CoursWorx provides its services “as-is” and does not warrant that services will be uninterrupted, secure, or error-free. - Indemnification By subscribing to or using CoursWorx, all users, including but not limited to subscribers, vendors, instructors, corporate partners, sponsors, and advertisers, agree to indemnify, defend, and hold harmless CoursWorx, its affiliates, officers, directors, employees, agents, partners, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to:
- Any violation of these Terms of Service, Code of Conduct, or other policies by the user;
- Any content posted, submitted, or otherwise transmitted through the platform by the user, including but not limited to claims of intellectual property infringement, defamation, or violation of privacy rights;
- Any fraudulent, negligent, or wrongful acts or omissions by the user in connection with their use of the CoursWorx platform or services;
- Any interactions, transactions, or disputes arising between users, instructors, or third-party advertisers featured on the platform;
- Any breach of applicable laws or regulations by the user while using CoursWorx.
CoursWorx reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the user. In such cases, users agree to cooperate with CoursWorx’s defense of such claims and agree not to settle any matter without CoursWorx’s prior written consent.
- Dispute Resolution
Any disputes arising from or relating to these terms shall be resolved through binding arbitration as governed by the jurisdiction of Middlesex County in Massachusetts. This agreement to arbitrate includes any claims brought against CoursWorx by vendors, users, or third parties acting on their behalf. - Modifications to Terms
CoursWorx reserves the right to modify or update these terms at its discretion. Subscribers are encouraged to review these terms periodically, and continued use of the platform constitutes acceptance of any changes. - Account Security and Responsibility Subscribers are responsible for maintaining the confidentiality and security of their account information, including passwords and other login credentials. Subscribers agree to keep this information secure and not share it with third parties. Subscribers are accountable for all activities conducted under their account, whether authorized by them or not. Subscribers must promptly notify CoursWorx of any suspected or confirmed unauthorized use of their account or any other security breach. CoursWorx is not liable for any loss, damage, or exposure of personal information resulting from security breaches or unauthorized access, whether due to subscriber negligence, third-party actions, or circumstances beyond our control. Subscribers acknowledge and accept that they use CoursWorx’s platform at their own risk regarding account and data security.
- Payment Terms and Renewal
- Billing Cycle and Payments
Subscriptions to CoursWorx operate on a recurring billing cycle, with payment due at the beginning of each billing period. The billing period is determined by the subscription plan chosen by the subscriber (e.g., monthly or annually). Payment will be automatically charged to the subscriber’s designated payment method on the first day of each billing cycle. - Automatic Renewal
All CoursWorx subscriptions are set to renew automatically at the end of each billing cycle to ensure uninterrupted access to our services. Unless canceled before the renewal date, subscriptions will renew automatically at the rate in effect at the time of renewal. By subscribing, the subscriber authorizes CoursWorx to charge the renewal fee using the designated payment method on file. - Trial Periods
If a trial period is offered, subscribers will have access to CoursWorx services free of charge for a specified period, after which the subscription will automatically convert to a paid plan unless canceled before the trial period ends. Subscribers will be notified of the trial expiration and the commencement of billing, and they may cancel at any time during the trial to avoid incurring charges. - Cancellation Policy
Subscribers may cancel their subscriptions anytime by accessing their account settings or contacting CoursWorx customer support. Cancelation must be completed at least 24 hours before the next renewal date to avoid being charged for the next billing cycle. Upon cancellation, subscribers will retain access to their subscription services until the end of the current billing cycle, at which point access will terminate. - Refund and Proration Policy
CoursWorx does not offer refunds or prorated credits for partial use of subscription services or any remaining subscription period after cancellation. Subscribers are encouraged to review their plan details and cancel before renewal if they do not wish to continue the service. Exceptions may be made in verified billing errors or as required by law.
- Billing Cycle and Payments
- Content Usage and LicenseSubscribers to CoursWorx are granted a limited, non-exclusive, non-transferable license to access, view, and, where applicable, download content provided on the platform for personal, non-commercial use only. Content may include articles, reports, guides, multimedia assets, and other curated materials. Subscribers agree to use this content strictly within the following guidelines:
- Viewing and Downloading: Content may be accessed and viewed directly on the CoursWorx platform. Where permitted, content may also be downloaded for personal reference but must not be altered or edited in any way.
- Sharing Restrictions: CoursWorx content may be shared only privately, such as discussing topics learned within private study groups or personal interactions, without reproducing or distributing content verbatim. Public sharing, reproduction, or distribution of content, whether in digital, printed, or other forms, is strictly prohibited without prior written permission from CoursWorx.
- No Unauthorized Distribution or Reproduction: Subscribers are expressly prohibited from copying, distributing, reproducing, or creating derivative works from any content provided by CoursWorx without explicit, written consent. This includes posting content on external websites, sharing with non-subscribers, or using content for commercial purposes.
Violations of these terms may result in termination of the subscriber’s access to the platform and potential legal action. CoursWorx reserves the right to enforce these guidelines to protect its intellectual property and maintain the integrity of its educational materials.
- Content Ownership and Intellectual Property
All content on the platform remains the intellectual property of CoursWorx or its licensors. All content provided on the CoursWorx platform, including but not limited to articles, reports, guides, multimedia assets, and summaries, is the exclusive property of CoursWorx and its licensors and is protected by intellectual property laws. Subscribers are granted a limited, non-exclusive, non-transferable license to access and use the content solely for personal, non-commercial purposes. Subscribers are expressly prohibited from copying, reproducing, distributing, reselling, modifying, or creating derivative works from any content on the platform without the explicit, prior written permission of CoursWorx. Unauthorized content use may result in the subscription’s termination and potential legal action. - Privacy Policy Linkage
Refer to the platform’s privacy policy to ensure users know how their data is collected, used, and protected. - Termination of Service
The conditions under which CoursWorx can terminate a subscription include violating terms or using content. Upon termination of a subscription, whether initiated by the subscriber or CoursWorx, the subscriber’s access to all platform content and services will immediately cease. This includes any saved, bookmarked, or downloaded materials and access to exclusive subscriber features. CoursWorx does not provide prorated refunds for unused portions of a subscription term. Any content obtained during an active subscription period remains subject to the Content Usage and Intellectual Property clause, and subscribers are prohibited from retaining, sharing, or using content beyond the subscription period. - Disclaimer of Warranties
The platform and its materials are provided “as-is,” and any implied warranties of accuracy, reliability, or fitness for a particular purpose are disclaimed. All reasonable measures have been taken to ensure the information’s quality, reliability, and accuracy. CoursWorx makes no warranties or representations, expressed or implied, regarding the accuracy or completeness of information contained on its website. - Sponsored and Advertised Content
CoursWorx may display sponsored or advertising content from third-party partners within the platform. External advertisers or sponsors provide content not endorsed, reviewed, or verified by CoursWorx. We do not assume responsibility for the accuracy, reliability, or quality of any products, services, or claims presented in sponsored or advertising content. Interactions, transactions, or engagement with these third-party advertisers are solely between the subscriber and the third party. CoursWorx shall not be liable for any loss or damage incurred through such interactions. - User Feedback and Contributions
CoursWorx welcomes feedback, reviews, comments, and other user-submitted content to help enhance our services and user experience. By submitting any feedback or content on the CoursWorx platform, subscribers grant CoursWorx a perpetual, royalty-free, worldwide, non-exclusive license to use, reproduce, modify, distribute, and display this content in any format or medium, including but not limited to promotional materials, platform updates, and product development. CoursWorx reserves the right to use this feedback without compensation, acknowledgment, or notification to the contributor. Submitted content must comply with our Code of Conduct and should not infringe on the rights of third parties. - Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any legal disputes or claims arising from or related to these terms, including but not limited to using the CoursWorx platform, shall be resolved exclusively in the state or federal courts in Middlesex County, Massachusetts. By subscribing to and using CoursWorx, subscribers agree to submit to the jurisdiction of these courts for any such disputes or claims.
